Terms and Conditions
These conditions apply when a client engages Willow Skybridge Godo Kaisha for a landscape review, a change sequencing session or vendor selection support. They sit beneath the written proposal: if the proposal says something different for your engagement, the proposal prevails.

1. Scope of an engagement
- 1.1 Work begins when we have sent a written proposal naming the offer, the scope, the people involved, the schedule and the fee, and you have accepted it in writing or by email.
- 1.2 A landscape review runs for about three weeks, a change sequencing session is a single half-day with up to six participants, and vendor selection support runs for about four weeks and covers one defined system and up to three supplier meetings, as described on the offers pages.
- 1.3 Anything outside the agreed scope, such as a further system or an additional session, needs its own written agreement and fee.
2. Fees and payment
- 2.1 Fees are in Japanese yen and are those on the offers pages at the time of your enquiry unless the proposal states otherwise.
- 2.2 The proposal states whether consumption tax is included or added. We invoice once, in the manner and by the date the proposal sets out, and payment is by bank transfer.
- 2.3 Travel to places outside Matsuyama and its surroundings, if the work needs it, is agreed in advance and is not charged without your approval.
3. What we need from you
- 3.1 Access to the people we are to interview, or to the participants of the session, at times agreed with you.
- 3.2 Honest, current information about the systems in question, including those that are informal or unofficial.
- 3.3 A named person on your side who can answer questions and accept the finished documents.
If these are not available when needed, the schedule moves accordingly, and we will tell you how.
4. Confidentiality
We treat what we learn about your business, your systems, your costs and your suppliers as confidential. We use it only for your engagement and share it only with people who need it for that purpose and who are bound to keep it confidential. This obligation continues after the engagement ends. It does not cover information that is already public, that you have told us we may share, or that we must disclose by law. If you need a separate confidentiality agreement before work starts, ask and we will sign one.
5. Documents we deliver
The written landscape report, dependency sheet, sequence or comparison matrix you receive is yours to use inside your business once the fee has been paid. We keep the right to reuse general methods and templates that are not specific to your business. Please do not publish the documents as our work, or pass them on to a supplier, without checking with us.
6. Revisions and delays
- 6.1 If interviews for a landscape review are not completed in the agreed time because of something on our side, we extend the engagement without charge.
- 6.2 If a sequence or a comparison matrix does not reflect what was agreed in the session or in the requirement document, we revise it once without charge.
- 6.3 Changes you request after delivery that go beyond correcting a mismatch are a new piece of work.
7. Cancelling or rescheduling
You can cancel before work begins without any fee. After work has started, you pay for the work already carried out, measured against the schedule in the proposal. A session that you reschedule with reasonable notice is moved without a charge; if you ask for a new date at very short notice, we may charge for the time we had set aside.
8. Independence from suppliers
We take no commission, fee or gift from any supplier we help you assess, and we tell you at once if one is offered. A supplier’s presence in a comparison matrix is never paid for.
9. What we cannot promise
Our documents record what we found and offer a considered view based on what we were told and could see. They are not a guarantee that a system will perform, that a change will go to plan, or that a supplier will deliver. Decisions about what to change, and when, remain yours.
10. Liability
To the extent Japanese law permits, our total liability to you for any claim arising from an engagement is limited to the fee you paid for that engagement, and we are not liable for indirect or consequential loss, such as lost profit or loss of data held in your systems. Nothing here limits liability that the law does not allow to be limited, including liability for intentional or grossly negligent acts.
11. Events beyond our control
Neither side is responsible for delay or failure caused by events it could not reasonably control, such as natural disaster, a transport shutdown or a serious illness. We will agree a new schedule when the cause has passed.
12. Governing law and courts
These conditions are governed by the laws of Japan. If we cannot settle a disagreement by talking to each other first, the Matsuyama District Court is the court of first instance with exclusive jurisdiction.
13. Changes and contact
We may update these conditions for future engagements; an engagement already agreed continues on the version in force when you accepted the proposal. Questions go to info@willow-skybridge.com or +81 89-933-4072. Last updated: 19 October 2026.
